These Terms of Service ("Terms") govern your access to and use of the CoolplayClub platform, website, APIs, SDKs, and related services (collectively, the "Services") provided by Beijing Coolplay Tribe Technology Co., Ltd. ("CoolplayClub," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
"Advertiser" — any entity that purchases advertising inventory through our platform.
"Publisher" — any entity that supplies advertising inventory to our exchange.
"Partner" — any third-party demand-side platform, supply-side platform, or data provider integrated with our Services.
"Platform" — the CoolplayClub programmatic advertising exchange and associated technology.
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent or abusive behavior.
CoolplayClub operates a programmatic advertising exchange connecting advertisers and publishers. Our Services include real-time bidding, inventory management, campaign optimization, reporting dashboards, and API/SDK integrations.
We do not guarantee specific advertising results, including but not limited to impressions delivered, click-through rates, conversion rates, or revenue generated. All performance metrics are provided for informational purposes only.
You agree not to:
Advertisers shall pay for services according to the rates and payment terms specified in their insertion order or platform agreement. Publishers shall receive revenue share payments according to their publisher agreement.
All payments are due within the period specified on the invoice. Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by law. We reserve the right to suspend services for accounts with overdue balances.
All fees are exclusive of applicable taxes, which shall be the responsibility of the paying party.
CoolplayClub owns all rights, title, and interest in and to the Services, including all associated intellectual property rights. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.
You retain all rights to your own content, data, and advertising materials submitted to the platform. By submitting content, you grant us a limited, non-exclusive license to use, display, and distribute such content solely for the purpose of providing the Services.
We collect and process data as described in our Privacy Policy. You grant us the right to aggregate and anonymize data derived from your use of the Services for platform improvement, benchmarking, and industry reporting. Such aggregated data will not identify you or your end users.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COOLPLAYCLUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM THE USE OF OR INABILITY TO USE THE SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to CoolplayClub in the twelve (12) months preceding the claim.
We strive to maintain 99.9% uptime but do not guarantee uninterrupted Service availability. We may suspend Services for planned maintenance, emergency repairs, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when feasible.
Either party may terminate these Terms with 30 days' written notice. We may immediately suspend or terminate access for violation of these Terms, illegal activity, or non-payment. Upon termination, you must cease all use of the Services, and we will settle outstanding financial obligations within 60 days.
You agree to indemnify and hold harmless CoolplayClub and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through binding arbitration in Beijing, China, or as otherwise agreed in writing.
We may modify these Terms from time to time. Material changes will be communicated at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
